NEW LAW SIMPLIFIES CORPORATE EMAIL REGISTRATION IN COSTA RICA

Law No. 10962, enacted on June 3, 2026, introduces significant changes to the procedure for registering and updating the official email address of commercial companies before the National Registry.

The reform is intended to streamline the process, reduce administrative burdens, and facilitate compliance with an obligation that has become increasingly important as electronic notifications continue to play a greater role in corporate and administrative matters.

What Has Changed?

Previously, registering or updating a company’s official email address generally required a notarial procedure whenever the corporate records needed to be amended.

Under the new law, companies may now register or update their official email address by submitting a sworn declaration signed electronically by the company’s legal representative using a certified digital signature, eliminating the need for a public deed when the sole purpose is to register or modify the corporate email address.

The reform represents another step toward the digitalization of corporate registry procedures in Costa Rica.

A Faster and Cost-Free Procedure

The law also requires the National Registry to implement an electronic self-service platform through which companies will be able to complete this procedure online.

Additionally, the registration of the corporate email address will be exempt from registration fees, stamp duties, and related taxes, making the process more accessible and efficient for businesses.

Why Does It Matter?

A company’s registered email address serves as the official channel for receiving certain legal and administrative notifications. As a result, businesses should ensure that the registered email account:

  • remains active and accessible;
  • is managed by authorized personnel;
  • is monitored regularly; and
  • is updated whenever there is a change in the company’s internal administration.

Although the reform significantly simplifies the registration process, its practical implementation will depend on the electronic platform to be developed by the National Registry, as well as any administrative guidelines issued to govern its operation.
